Affiliate & Referral Partner Agreement

By continuing to participate in our Affiliate & Referral Partner Program after this date, you accept this updated Agreement.

This Affiliate & Referral Partner Agreement (the “Agreement”) applies to your participation in any DealJoy.AI affiliate, referral, or partner program (collectively, the “Program”) offered by WithJoy.AI Inc. (“DealJoy.AI,” “we,” “us,” or “our”). These programs include any arrangement where participants (“Affiliate,” “Referral Partner,” “you,” or “your”) may earn one-time or recurring commission payouts (“Commissions”) for referring customers or promoting DealJoy.AI’s products and services.

By registering for any such program, you agree to comply with this Agreement, which governs all affiliate and referral relationships with DealJoy.AI.

This Agreement incorporates, and you agree to comply with, the most up-to-date version of all Program Policies, guidelines, and other rules referenced herein. If you sign up on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement.

1. Eligibility

Acceptance into the Program is at the sole discretion of DealJoy.AI. We may reject or terminate your application at any time and for any reason. Information collected during registration will be handled per our Privacy Policy.

Once accepted, you may earn Commissions by referring customers or promoting DealJoy.AI in accordance with this Agreement and our Program Policies. Commissions may be structured as one-time referral bonuses, recurring revenue shares, or milestone-based earnouts depending on the specific program type. We reserve the right to monitor your promotional activities to ensure compliance.

Misconduct: If you violate this Agreement or any Program Policies, we may permanently withhold all Commissions, terminate your participation, and seek damages if applicable.


2. Commissions

2.1 Commission Payout

Eligible participants will receive Commissions as outlined in the applicable Program Policies. DealJoy.AI reserves the right to withhold or adjust Commissions in cases of fraud, error, or violation of this Agreement.

To be eligible for payout, you must:

  • Accept this Agreement and any additional Program terms.

  • Maintain an active, verified account.

  • Provide valid payment and tax information.

2.2 Payments

Payments will be processed via Stripe or PayPal. By participating, you agree to the applicable platform’s terms and conditions. You acknowledge that completing the payment provider setup is required for participation.

2.3 Taxes

You are solely responsible for all applicable taxes, duties, or other governmental charges on your Commissions.

2.4 Referral Tracking & Attribution

Each participant will receive a unique referral or affiliate link (“Referral Link”) to track customer signups. Commissions are only payable for transactions completed through your Referral Link within the attribution window defined in your specific Program. Only one participant may receive credit for a given referral.

2.5 One-Time vs. Recurring Commissions

Depending on the specific program, you may be eligible for:

  • One-time commissions for successful customer referrals or signups; and/or

  • Recurring commissions (revenue share) for ongoing customer subscriptions or payments.

DealJoy.AI reserves the right to modify commission structures or payout frequency at any time.

2.6 Maximum Commissions

DealJoy.AI may establish limits on the total amount of Commissions payable per participant. Creating multiple accounts to circumvent limits is prohibited.

2.7 Bounties and Special Promotions

From time to time, we may offer special promotions, bonuses, or bounties for completing specific marketing activities. Participation is optional and subject to DealJoy.AI’s approval.


3. Participation Guidelines

You are authorized to promote and refer customers to DealJoy.AI’s services in compliance with this Agreement.

3.1 Restrictions

You may not:

  • Send spam or unsolicited communications.

  • Misrepresent DealJoy.AI, its services, or your relationship with us.

  • Use DealJoy.AI’s name, trademarks, or branding in domain names, social media handles, or advertising keywords.

  • Engage in deceptive, misleading, or unethical marketing.

  • Promote on websites or channels containing offensive, illegal, or infringing content.

  • Purchase DealJoy.AI services through your own Referral Link.

3.2 Compliance

You must comply with all applicable advertising and disclosure regulations, including the U.S. Federal Trade Commission (FTC) guidelines. You must clearly disclose that you receive compensation for referrals (e.g., “As a DealJoy.AI partner, I may earn a commission on qualifying purchases or signups.”)

3.3 Customer Ownership

All referred customers are customers of DealJoy.AI. You do not own or control customer relationships, and you may not act as a sales representative or provide customer support on our behalf unless explicitly authorized in writing.


4. License and Ownership

4.1 Your Content

By participating, you grant DealJoy.AI a non-exclusive, royalty-free, worldwide license to use, display, and promote your content (including name and likeness) created in connection with the Program for marketing and promotional purposes.

4.2 DealJoy.AI Content

We may provide branded materials, logos, or content (“DealJoy.AI Content”). You may use these only as authorized, without modification, and solely for promoting DealJoy.AI. All rights to DealJoy.AI Content and trademarks remain ours.

4.3 Ownership

You retain ownership of your original content. DealJoy.AI retains ownership of all intellectual property related to its brand, software, and materials.


5. Confidentiality

You agree to treat all non-public information about DealJoy.AI as confidential and not disclose it to third parties without our written consent.


6. Term and Termination

This Agreement begins upon your acceptance and continues until terminated. Either party may terminate this Agreement at any time, for any reason, with written notice (including email). Upon termination, you must immediately remove all Referral Links and DealJoy.AI branding. We may withhold pending payments for up to 60 days to account for potential refunds, cancellations, or chargebacks.


7. Independent Contractor

You are an independent contractor, not an employee or agent of DealJoy.AI. Nothing in this Agreement creates an employment, partnership, or joint venture relationship.


8. Warranties and Disclaimers

You represent and warrant that:

  • You have the legal authority to enter this Agreement.

  • Your promotional materials and conduct comply with all laws and do not infringe third-party rights.

  • You will not mislead customers or misrepresent DealJoy.AI.

DEALJOY.AI PROVIDES THE PROGRAM AND RELATED MATERIALS “AS IS” WITHOUT WARRANTY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


9. Indemnification

You agree to indemnify and hold harmless DealJoy.AI, its affiliates, officers, and employees from any claims, damages, or expenses (including legal fees) arising from your participation in the Program, your content, or your violation of this Agreement or any laws.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALJOY.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES. OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE COMMISSIONS PAID TO YOU IN THE PRECEDING TWELVE MONTHS OR (B) $500 USD.


11. General Provisions

11.1 Governing Law

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflicts of law principles.

11.2 Arbitration

Any disputes shall be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association. Either party may seek injunctive relief in state or federal courts located in Delaware.

11.3 No Class Actions

You agree to resolve all disputes individually and waive the right to participate in any class, collective, or representative action.

11.4 Notices

Notices to DealJoy.AI must be sent to support@withjoy.ai. Notices to you may be sent to the email associated with your account.

11.5 Modifications

We may modify this Agreement at any time. Continued participation after changes become effective constitutes acceptance.

11.6 Assignment

You may not assign this Agreement without our prior written consent.

11.7 Entire Agreement

This Agreement constitutes the entire understanding between you and DealJoy.AI regarding the Affiliate & Referral Partner Program and supersedes all prior agreements.

11.8 Survival

Sections relating to payment, ownership, confidentiality, indemnification, limitation of liability, and governing law shall survive termination.
